Course outline
As the final tranche of the Companies Act 2006 comes into effect on 1st October 2009, what should solicitors do in advising their private company clients? Should they file new articles in line with the new default articles? Should they amend their existing articles or should they do nothing?!?Certain provisions of existing Table A articles are over-ridden by the new Act and to retain existing provisions could be misleading.
This course will attempt to sort out what should be done together with practical suggestions to avoid conflict areas, including a further review of the use of shareholders’ agreements.

Ray Snow was formerly a reader in law at The College of Law, Guildford and is a member of the Law Society’s European Group and the Competition Law Association. He has lectured extensively on company, commercial, tax and employment law matters and is a contributor to Butterworths 2001, 2002, 2005 and 2007 Re-Issues of the Encyclopaedia of Forms and Precedents “Businesses” and “Companies” (Volume 10) as well as writing several publications on advising small businesses and business clients.
